These terms ("Terms") govern your use of Kagama Kanban, operated by Kagama GmbH ("Kagama", "we", "us"). By creating an account or using the service, you agree to them. Please read carefully — they're shorter than most.
01Acceptance of terms
By signing up, accepting an invitation, or using the service, you confirm you have authority to bind yourself or the entity you represent. If you don't agree to any part of these Terms, you must not use the service.
02Account responsibilities
You are responsible for:
- Keeping your password secure. Use a strong one and enable 2FA where offered.
- All activity under your account, including invited members in your workspaces.
- Providing accurate billing information and keeping it current.
- Promptly notifying us at security@kagama.io if you suspect unauthorised access.
03Acceptable use
You may not use Kagama Kanban to:
- Send spam, phishing content, or unsolicited commercial messages.
- Store or distribute illegal content, including infringing copyrighted material.
- Attempt to bypass authentication, rate limits, or storage quotas.
- Reverse-engineer, scrape at scale, or run benchmark tests without written permission.
- Use the service to compete with us by building a substantially similar product.
We reserve the right to investigate and take action — including immediate suspension — on accounts violating these rules.
04Subscription, billing & refunds
Paid plans renew automatically at the end of each billing period. You'll be charged in EUR via Stripe. Per-seat pricing is prorated when you add or remove members mid-cycle.
Promotional codes are subject to their stated conditions and may be revoked if used in bad faith. Trials convert to paid only when you add a payment method — we don't auto-charge after a trial.
05Cancellation
Cancel anytime via the Stripe Customer Portal — accessible from /workspace/admin → Plan → Manage. You retain full access until the end of the current billing period. After cancellation, you have a 30-day grace period to export your data before workspaces are archived. Archived workspaces are permanently deleted after 90 days.
06Termination by us
We may suspend or terminate your account, with notice where reasonable, for:
- Material violation of the acceptable-use rules above.
- Failure to pay invoices after two reminders (15-day grace).
- Court order or regulatory request we are legally required to comply with.
07Limitation of liability
To the extent permitted by law, our aggregate liability for any claim arising from these Terms is capped at the amount you paid us in the 12 months preceding the event. We are not liable for indirect, incidental, or consequential damages — including lost profits or lost data, except where we acted with gross negligence or wilful misconduct. Nothing in these Terms limits liability that cannot be excluded under German law.
08Governing law & jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law provisions. The exclusive place of jurisdiction is Frankfurt am Main, unless mandatory consumer-protection law dictates otherwise.
09Changes to these Terms
If we make material changes to these Terms, we'll notify all account holders by email at least 30 days before they take effect. Non-material changes (typos, clarifications) take effect immediately. Continued use after the effective date counts as acceptance.
